Terms & Conditions
Effective date: September 13, 2026
These Terms & Conditions (the “Terms”) govern your use of amp-procurement.com (the “Site”) and all quotes, orders, and sales made by AMP Procurement LLC, an Illinois limited liability company (“AMP Procurement”). By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.
1. Business use only
The Site and our products are offered solely to businesses and their authorized representatives in the United States for commercial, industrial, and utility use. They are not offered for personal, family, or household purposes. You represent that you are at least 18 years old and authorized to bind the entity you represent.
2. Site content
All content on the Site, including text, graphics, logos, and the AMP Procurement name and marks, is owned by AMP Procurement or its licensors and is protected by intellectual property laws. You may not copy, reproduce, scrape, resell, or create derivative works from the Site without our prior written consent. Product descriptions, specifications, images, and availability are provided for general information, may be supplied by manufacturers, and may contain errors or omissions; nothing on the Site constitutes an offer to sell.
3. Quotes and orders
- Quotes are invitations to order, are valid only for the period stated on the quote (and if no period is stated, for thirty (30) days), and may be revised or withdrawn before acceptance.
- A binding contract is formed only when AMP Procurement accepts your order in writing or ships the products.
- Lead times, ship dates, and projected timelines are estimates based on supplier information and are not guarantees. AMP Procurement is not liable for delays caused by manufacturers, carriers, or other events outside our reasonable control.
- Pricing is subject to change prior to acceptance and may be adjusted for manufacturer price increases, tariffs, surcharges, or changes to your specifications or quantities.
- Orders for special-order, custom, or made-to-order products may not be cancelled or returned, and cancellations of other orders may be subject to restocking and cancellation charges.
- Any purchase order terms, acknowledgments, or other documents you provide that conflict with or add to these Terms are rejected and have no effect unless we agree in a signed writing.
4. Payment and taxes
Unless otherwise stated on the quote or invoice, payment terms are net thirty (30) days from invoice date in U.S. dollars. Past-due amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and you are responsible for costs of collection, including reasonable attorneys’ fees. Prices exclude applicable sales, use, and excise taxes and similar charges, which will be added to your invoice unless you provide a valid exemption certificate. AMP Procurement retains a purchase-money security interest in products until paid in full.
5. Delivery, title, and inspection
Unless otherwise agreed in writing, delivery is Ex Works or FOB origin; title and risk of loss pass to you upon delivery of the products to the carrier. Shipping and handling charges are your responsibility. You must inspect products upon receipt and notify us in writing of any shortage, damage, or nonconformity within ten (10) days of delivery; otherwise products are deemed accepted. Returns require our prior written authorization.
6. Warranty disclaimer
AMP Procurement is a distributor and sourcing partner and does not manufacture the products it sells. To the extent transferable, we assign to you the manufacturer’s warranty for the products, which is your sole and exclusive warranty. EXCEPT AS EXPRESSLY STATED IN A SIGNED WRITING, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND AMP PROCUREMENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. You are solely responsible for determining that the products you order are suitable for your application and compliant with applicable codes and standards.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMP PROCUREMENT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF USE, DOWNTIME, OR COST OF SUBSTITUTE GOODS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AMP PROCUREMENT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE, A QUOTE, OR AN ORDER WILL NOT EXCEED THE AMOUNTS PAID TO AMP PROCUREMENT FOR THE PRODUCTS GIVING RISE TO THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless AMP Procurement and its members, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your breach of these Terms, or your installation, use, resale, or disposal of products purchased from us.
9. Compliance and export control
You agree to comply with all applicable U.S. laws and regulations, including export control, sanctions, and anti-corruption laws, and you will not export or re-export products in violation of those laws.
10. Force majeure
AMP Procurement is not liable for any failure or delay in performance caused by events beyond its reasonable control, including supplier or manufacturer delays, material shortages, labor disputes, carrier disruption, fire, flood, severe weather, epidemic, war, terrorism, cyberattack, or governmental action.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The exclusive venue for any dispute is the state or federal courts located in Cook County, Illinois, and each party consents to personal jurisdiction there and waives any right to a jury trial. Any claim must be brought within one (1) year after the cause of action accrues. Disputes must be brought individually; class and representative actions are waived to the extent permitted by law.
12. Accounts and acceptable use
If you are issued account credentials, you are responsible for keeping them confidential and for all activity under your account. You may not attempt to gain unauthorized access to the Site, interfere with its operation, or use it for any unlawful purpose.
13. Status lookup tool
Any status, stage, or projected timeline shown by our quote and order lookup tool is provided for convenience only, is based on information supplied by manufacturers and carriers, and is not a guarantee or a modification of these Terms. Reference numbers are confidential; you are responsible for limiting their distribution.
14. Electronic communications
You consent to receive quotes, order acknowledgments, invoices, notices, and other communications from us electronically, and you agree that electronic records and signatures satisfy any requirement that such communications be in writing.
15. Accessibility
We strive to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you experience difficulty using any part of the Site, contact us at info@amp-procurement.com and we will work with you to provide the information or transaction you need through an alternative method.
16. General
These Terms, together with any quote or order acknowledgment we issue, are the entire agreement between the parties regarding their subject matter. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may update these Terms at any time by posting a revised version with a new effective date; the version in effect when your order is accepted governs that order.
